Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the hosted phone, internet, SMS, and related communications services (the “Services”) provided by Taridium (“Taridium,” “we,” “us,” or “our”). By signing an order form, activating an account, or using the Services, you agree to be bound by these Terms.

1. The Services

Taridium provides business communications services including hosted VoIP phone systems, business internet and backup internet connectivity, business SMS, fax-to-email, and related add-ons. Specific features, service levels, and pricing for your account are set out in your order form or service agreement, which forms part of these Terms.

2. Your Account

You are responsible for maintaining accurate account and contact information, safeguarding any credentials associated with your account, and for all activity that occurs under it. You agree to notify us promptly of any unauthorized use of your account.

3. Fees, Billing & Payment

Fees are billed in accordance with your order form, typically in advance on a monthly or annual basis. Usage-based charges (such as overage minutes or SMS volume) are billed in arrears. Late payments may result in a suspension of Services after notice. You are responsible for all applicable taxes, surcharges, and regulatory fees.

4. Acceptable Use

Use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of Services.

5. Emergency (911) Calling

Because our Services use VoIP technology, 911 emergency calling may function differently than traditional landline service, including in the event of a power or internet outage. You are responsible for keeping your registered service address current so that emergency responders are dispatched to the correct location.

6. Service Availability & Changes

We work to provide reliable, highly available service, but the Services may occasionally be unavailable for scheduled maintenance, upgrades, or reasons outside our reasonable control. We may modify or discontinue features of the Services from time to time, and will provide reasonable notice of material changes where practical.

7. Intellectual Property

Taridium retains all rights, title, and interest in the Services, including all associated software, documentation, and trademarks. These Terms do not grant you any ownership interest in the Services.

8. Limitation of Liability

To the maximum extent permitted by law, Taridium will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the fees paid by you for the Services in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold Taridium harmless from claims, damages, and expenses arising from your misuse of the Services or violation of these Terms.

10. Termination

Either party may terminate Services in accordance with the notice period set out in your order form. We may suspend or terminate Services immediately for a material violation of these Terms or the Acceptable Use Policy, including non-payment or conduct that puts our network or other customers at risk.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, except where a customer’s local service agreement specifies otherwise.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting an updated version on this page or by direct notice to account administrators. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
